Terms of Service

1. Acceptance of terms

By creating an account or using ClearInvoice ("the Service") you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service. You must be at least 18 years old to create an account.

2. The service

ClearInvoice provides invoice and quote generation tools aimed at UK freelancers and small businesses. The Service is operated by Andrew McManis, trading from Plymouth, UK.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will give reasonable notice of significant changes where possible.

3. Account registration and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@clearinvoice.co.uk if you suspect unauthorised access to your account.

You agree to provide accurate and complete information when registering and to keep that information up to date.

4. Free plan

Free accounts are limited to 3 invoices and 1 quote per calendar month. These limits reset on the first day of each month. We reserve the right to change free plan limits with reasonable notice.

5. Pro subscription

Pro subscriptions are available on a monthly (£9/month) or annual (£49/year) basis, inclusive of UK VAT where applicable, and include a 7-day free trial for new subscribers.

  • Billing: subscriptions are billed in advance via Stripe. Annual plans are charged as a single upfront payment.
  • Free trial: no charge is made during the 7-day trial. You may cancel before the trial ends to avoid being charged.
  • Cancellation: you may cancel at any time via the billing portal. Your Pro access continues until the end of the current paid period.
  • Refunds: we do not offer pro-rated refunds for unused periods except where required by law. If you are dissatisfied, contact us and we will consider your request on a case-by-case basis.
  • Price changes: we will give at least 30 days' notice of any price increase, with the option to cancel before the new price takes effect.

6. Acceptable use

You agree not to use the Service to:

  • create or send fraudulent, misleading, or illegal invoices;
  • violate any applicable law or regulation;
  • attempt to gain unauthorised access to the Service or its infrastructure;
  • reverse-engineer, scrape, or otherwise extract data from the Service by automated means;
  • impersonate any person or entity.

We reserve the right to suspend or terminate accounts that violate this policy without refund.

7. Your content and data

You retain full ownership of all invoice data, client information, and other content you create in ClearInvoice. By using the Service, you grant us a limited licence to store, process, and transmit your content solely to provide the Service to you.

You are solely responsible for ensuring the accuracy of your invoices and VAT calculations. ClearInvoice is a tool to assist you — it does not constitute accountancy, legal, or tax advice.

8. AI features

ClearInvoice uses Anthropic Claude to power optional AI writing features including quote introductions and payment reminder drafts. AI-generated content is a starting point only. You must review and take responsibility for any text before sending it to clients. We are not liable for errors or omissions in AI-generated output.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that the Service will be error-free or that any errors will be corrected.

10. Limitation of liability

To the fullest extent permitted by English law, ClearInvoice and its operator shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of, or inability to use, the Service — including loss of revenue, loss of profits, loss of data, or financial loss arising from errors in invoices or VAT calculations.

Our total aggregate liability to you in respect of any losses arising under or in connection with these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Termination

You may delete your account at any time from the settings page. We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity of the breach. On termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.

12. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after that date constitutes acceptance of the updated terms.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
